Agreed Statement of Facts and Undertaking

The following agreement has been reached between Joseph Claude Michel Labadie (“Labadie”) and the Executive Director:

1. As a basis for the undertakings referred to below, Labadie acknowledges the following facts as correct:
        1.1 Labadie has been registered as a mutual fund salesperson since January 28, 1999, with Investors Group Financial Services Inc. (“Investors Group”) pursuant to section 34 of the Securities Act, R.S.B.C. 1996, c. 418 (“the Act”).

        1.2 As part of his application for registration, Labadie was required to complete and file the Uniform Application for Registration/Approval (B.C.) Form 4 (“Form 4”).

        1.3 Labadie filed a completed Form 4 with the British Columbia Securities Commission (the “Commission”) on January 14, 1999.

        1.4 Labadie was required, pursuant to an affidavit, which forms part of the Form 4, to swear that answers given to the questions in the Form 4 and any attachments thereto, were true.

        1.5 The Form 4 clearly indicates that it is an offence under the Act to file an application containing a statement that is a misrepresentation.

        1.6 Labadie was required, pursuant to item 8.A “Employment History” of the Form 4 to disclose the reasons for leaving his previous place of employment.

        1.7 Commission staff, as part of the review of Labadie’s application for registration, have determined that Labadie, in responding to Item 8.A of the Form 4, gave an answer in his application which was inaccurate and misleading.

    2. Labadie undertakes to pay to the Commission a penalty of $2,000.00 on the execution of this agreement, which penalty will be paid to the Industry Education Fund.

    3. Labadie undertakes to comply with the provisions of the Act and the Securities Rules, B.C. Reg. 194/97, from the date of this agreement.

    4. Labadie waives any right he may have, under the Act or otherwise, to a hearing, hearing and review, judicial review or appeal relating to, in connection with or incidental to this agreement.
