AND

IN THE MATTER OF DOUGLAS MICHAEL EDGAR

Notice of Adjournment and Extension of Temporary Orders
WHEREAS on October 30, 2000, under section 161 of the Securities Act, R.S.B.C. 1996, c. 418, the Executive Director gave notice to Douglas Michael Edgar of a hearing to be held on November 7, 2000, before the British Columbia Securities Commission to determine whether it is in the public interest to make orders under the Act against Edgar;

AND WHEREAS on October 30, 2000, the Executive Director ordered under section 161(2) of the Act (the “Temporary Orders”) that:

· The exemptions described in sections 44 to 47, 74, 75, 98 or 99 of the Act to not apply to Edgar;
· Edgar is prohibited from purchasing any securities or exchange contracts;
· Edgar resign any position he holds as a director or officer of any issuer and is prohibited from becoming, or acting as, a director or officer of any issuer; and
· Edgar is prohibited from engaging in investor relations activities
    for a period ending November 7, 2000;

    AND WHEREAS at the hearing on November 7, 2000, the hearing was adjourned to December 13, 2000, and the Temporary Orders were extended until December 13, 2000;

    AND WHEREAS on December 12, 2000, by consent, the hearing was adjourned until January 8, 2001, and the Temporary Orders were extended until January 8, 2001;

    AND WHEREAS on January 5, the parties applied to adjourn the hearing until January 9, 2001, and consented to the Temporary Orders being extended until January 9, 2001;

    NOW THEREFORE the Commission, considering it necessary and in the public interest to do so, and by consent, orders that:

    1. the hearing is adjourned to January 9, 2001, at 10:00 a.m., and
    2. under section 161(3) of the Act, the Temporary Orders are extended until January 9, 2001.
