Notice of Hearing Under Section 161
[para 1]
1. TAKE NOTICE that a hearing will be held (the “Hearing”) to give Frederick George Orr (“Orr”) an opportunity to be heard before the British Columbia Securities Commission (the “Commission”) considers whether it is in the public interest to make the following orders:

1.1 pursuant to section 161(1)(c) of the Securities Act, R.S.B.C. 1996, c. 418 (the “Act”) that any or all of the exemptions described in sections 44 to 47, 74, 75, 98 or 99 of the Act do not apply to Orr;

1.2 pursuant to section 161(1)(b) of the Act that Orr cease trading in any securities or exchange contracts;

1.3 pursuant to section 161(1)(d) of the Act that Orr resign any position he holds as a director or officer of any issuer;

1.4 pursuant to section 161(1)(d) of the Act that Orr be prohibited from becoming or acting as a director or officer of any issuer;

1.5 pursuant to section 162 of the Act that Orr pay an administrative penalty;

1.6 pursuant to section 174 of the Act that Orr pay prescribed fees or charges for the costs of, or related to, the Hearing; and

1.7 to make any other orders as may be appropriate in the circumstances.

2. AND TAKE NOTICE that the Commission will be asked to consider the following facts and allegations in making its determination:

Grande Portage Resources Ltd.:

2.1 Orr was director of Grande Portage Resources Ltd. (“Grande Portage”), from January, 1994, to April, 1999. During the Period from November, 1995, to May, 1998, (the “Grande Portage Relevant Period”), Orr was a director of and therefore an insider of Grande Portage.

2.2 Grande Portage had its head office in Ontario during the Grande Portage Relevant Period, and its securities were listed and posted for trading on the Vancouver Stock Exchange (the “VSE”), later the Canadian Venture Exchange (“CDNX”), making Grande Portage an exchange issuer and a reporting issuer under the Act, and the Securities Act, S.B.C. 1985, c.83 as amended (the “former Act”).

2.3 During the Grande Portage Relevant Period, Orr made changes in his direct or indirect beneficial ownership of, or control or direction over, securities of Grande Portage, for which he failed to file insider reports as required by section 87 of the Act, and the equivalent provisions of the former Act.

2.4 Orr filed 7 insider reports relating to the securities of Grande Portage, as part of a bulk filing of insider reports on August 1, 2000, and paid the applicable late filing fees.

Great Western Gold Corp.:

2.5 Orr became the Secretary and Treasurer of Great Western Gold Corp. (“Great Western”) in November, 1993, and continues to hold that position. During the period from June, 1995, to February, 1999 (the “Great Western Relevant Period”), Orr was a senior officer of and therefore an insider of Great Western.

2.6 Great Western had its head office in Saskatchewan, and during the Great Western Relevant Period, its securities were listed and posted for trading on the VSE, later the CDNX, making Great Western an exchange issuer and a reporting issuer under the Act, and the former Act.

2.7 During the Great Western Relevant Period, Orr made changes in his direct or indirect beneficial ownership of, or control or direction over, securities of Great Western, for which he failed to file insider reports as required by section 87 of the Act, and the equivalent provisions of the former Act.

2.8 Orr filed 8 insider reports relating to the securities of Great Western, as part of a bulk filing of insider reports on August 1, 2000, and paid the applicable late filing fees.

War Eagle Mining Company Inc.:

2.9 Orr became the Secretary and a Director of War Eagle Mining Company Inc. (“War Eagle”) in August, 1993, and continues to hold that position. During the period from May, 1995, to March, 2000, (the “War Eagle Relevant Period”), Orr was a senior officer and a director of, and therefore an insider of War Eagle.

2.10 War Eagle had its head office in British Columbia, and during the War Eagle Relevant Period, its securities were listed and posted for trading on the VSE, later the CDNX, making War Eagle an exchange issuer and a reporting issuer under the Act, and the former Act.

2.11 During the War Eagle Relevant Period, Orr made changes in his direct or indirect beneficial ownership of, or control or direction over, securities of War Eagle, for which he failed to file insider reports as required by section 87 of the Act, and the equivalent provisions of the former Act.

2.12 Orr filed 19 insider reports relating to the securities of War Eagle as part of a bulk filing of insider reports on August 1, 2000, and paid the applicable late filing fees.

2.13 Orr, by failing to file insider reports disclosing his direct or indirect beneficial ownership of, or control or direction over, securities of Grande Portage, Great Western, and War Eagle, and the change or changes in his direct or indirect ownership of, or control or direction over, securities of Grande Portage, Great Western, and War Eagle, breached section 87 of the Act, and section 155 of the Securities Rules, B.C. Reg. 194/97, and the equivalent provisions of the former Act.

3. AND TAKE NOTICE that Orr may be represented by counsel at the Hearing, and make representations and lead evidence. Orr is requested to advise the Commission of his intention to attend the Hearing by informing the Secretary to the Commission at PO Box 10142, Pacific Centre, 701 West Georgia Street, Vancouver, BC V7Y 1L2, phone: (604) 899-6500.

4. AND TAKE NOTICE that Orr or his counsel are required to attend at the 12th Floor Hearing Room, 701 West Georgia Street, Vancouver, British Columbia, on Wednesday, June 13, 2001, at 10:00 a.m. if he wishes to be heard before the Commission sets a date for the Hearing.

5. AND TAKE NOTICE that determinations may be made in this matter if Orr, or his counsel, do not appear at the Hearing.
