AGREED STATEMENT OF FACTS AND UNDERTAKING:-- The following agreement has been reached between Robert John Hansen ("Hansen") and the Executive Director:
1. As a basis for the undertaking referred to in paragraphs 2 & 3 of this agreement, Hansen acknowledges the following facts as correct:
| (a) |  | Hansen has been registered under the Act since July 21, 1987 and is currently registered as a salesperson (mutual funds) with Vantage Securities Inc. ("Vantage") and has been since June 22, 1992; | |
| (b) | | Hansen incorporated Hansen Planning Services Ltd. on August 16, 1985 and changed the name to Hansen Financial Services Inc. ("Hansen Financial") on August 10, 1989; | |
| (c) | | Hansen advertised Hansen Financial as an independent investment and retirement planning firm offering advise on securities when it was not registered under the Act; | |
| (d) | | Hansen set up a web page on the Internet for Hansen Financial without permission from Vantage and contrary to the Act. | |
3. Hansen undertakes to comply with the Act.
4. Hansen waives any right he may have, under the Act or otherwise, to a hearing, hearing and review, judicial review or appeal relating to, in connection with or incidental to this agreement.
