IN THE MATTER OF HUGH ALEXANDER MCMILLAN AND
CORPORATE INVESTOR RELATIONS GROUP INC.,


Agreed Statement of Facts and Undertaking


The following agreement has been reached between Hugh Alexander McMillan (“McMillan”), Corporate Investor Relations Group Inc. (“CIRG”) and the Executive Director:

1. As the basis for the undertaking referred to in paragraph 2 of this agreement, McMillan acknowledges the following facts as correct:
      (a) CIRG is incorporated under the Company Act, R.S.B.C. 1996, c. 62, and is not a reporting issuer;

      (b) CIRG publishes the Global Hot Stock Report (the “Report”), and McMillan is the sole director of CIRG and the editor and publisher of the Report;

      (c) the Report has been published once a year for each of the past three years;

      (d) the last Report, dated March 1997, along with a private placement questionnaire, was sent to approximately 3,500 individuals around the world;

      (e) in the Report, McMillan provided advice without the benefit of registration in contravention of section 34 (1) (c) of the Securities Act, R.S.B.C. 1996, c. 418 (the “Act”);

      (f) in the Report, McMillan gave an undertaking relating to the future value or price of a security, which is a representation prohibited under section 50 (1) (b) of the Act; and

      (g) in the Report, McMillan did not clearly and conspicuously disclose that the record was issued by or on behalf of an issuer, in contravention of section 52 (2) of the Act.
2. McMillan undertakes and agrees to:

      (a) comply fully with the Act, the Securities Rules, R.B.C. Reg. 194/97, and all applicable regulations, policies and guidelines; and

      (b) pay $1,500 to the British Columbia Securities Commission.

3. McMillan waives any right he may have, under the Act or otherwise, to a hearing, hearing and review, judicial review or appeal related to, in connection with or incidental to this agreement.
