Agreed Statement of Facts and Undertaking

AGREED STATEMENT OF FACTS AND UNDERTAKING:-- The following agreement has been reached between Darren McDougall ("McDougall") and the Superintendent of Brokers:
1. |  | As the basis for the undertakings referred to in paragraph 3 of this agreement, McDougall acknowledges the following facts to be correct: | |
(a) | | McDougall is a resident of British Columbia and has never been registered under the Securities Act, S.B.C. 1985, c. 83; | |
(b) | | McDougall has been employed by CT Fund Services Inc. ("CT"), registered as a Mutual Fund Dealer under the Act, since April 21, 1992 as a mutual fund salesman; | |
(c) | | between the period of April 21, 1992 to July 25, 1994 (the "Material Period"), McDougall traded in mutual funds for his clients without registration contrary to section 20 of the Act; | |
(d) | | McDougall relied on CT to ensure that he was registered under the Act during the Material Period; and | |
(e) | | McDougall knew, or ought to have known, that he was not registered under section 20 of the Act during the Material Period; | |
2. | | McDougall appears to have acted in a manner consistent with that of a mutual fund salesman registered under the Act during the Material Period; | |
3. | | McDougall has co-operated fully with staff during the investigation of this matter; | |
4. | | McDougall undertakes: | |
(a) | | from the date of this agreement, to comply with the requirements of the Act; and | |
(b) | | to pay the sum of $1,000 to the Minster of Finance and Corporate Relations; and | |
5. | | McDougall waives any right he may have, under the Act or otherwise, to a hearing, hearing and review, judicial review or appeal related to, in connection with, or incidental to this agreement. | |
