Orders Under Section 144

ORDERS:-- WHEREAS an Agreed Statement of Facts and Undertaking was executed by Gert Christensen ("Christensen") and the Superintendent of Brokers (the "Superintendent"), a copy of which is attached as Schedule "A";

NOW THEREFORE, the Superintendent, considering that it would be in the public interest to do so, orders that,

1.
pursuant to section 144(1)(c) of the Securities Act, S.B.C. 1985, c. 83 (the "Act") the exemptions described in sections 30 to 32, 55, 58, 80 or 81 do not apply to Christensen for a period ending five years from the date of these orders, and
2.
pursuant to section 144(1)(d) of the Act, Christensen is prohibited from becoming or acting as a director or officer of any issuer for a period ending five years from the date these orders.

Schedule "A"
IN THE MATTER OF THE SECURITIES ACT

AND IN THE MATTER OF GERT CHRISTENSEN
Agreed Statement of Facts and Undertaking

The following agreement has been reached between Gert Christensen ("Christensen") and the Superintendent of Brokers (the "Superintendent"):

1.
As the basis for orders made pursuant to section 144 of the Securities Act, S.B.C. 1985, c. 83 (the "Act") withdrawing the statutory exemptions of Christensen and prohibiting Christensen from becoming or acting as a director or officer of any issuer, Christensen acknowledges that,
a)
Christensen is an individual resident in British Columbia,
b)
Nova Pole international Inc. ("Nova Pole") is a company incorporated in British Columbia under the Company Act, R.S.B.C. 1979, c. 59,
c)
from February 1987 to March 21, 1988 (the "Material Period"), Christensen was the president and a director of Nova Pole,
d)
during the Material Period, Christensen solicited subscriptions (the "Subscriptions") for colon shares of Nova Pole from a number of residents of British Columbia,
e)
Christensen solicited the Subscriptions knowing that Nova Pole had not filed a preliminary or final prospectus with the Superintendent, and
f)
the solicitations for the Subscriptions were made in contravention of securities legislation in British Columbia;
2.
Christensen consents to orders of the Superintendent pursuant to section 144 of the Act in the form attached as schedule "B" (the "Orders");
3.
Christensen waives his right to a hearing and review by the British Columbia Securities Commission pursuant to section 147 of the Act with respect to the Orders; and
4.
Christensen hereby agrees to pay the sum of $600.00 to the Minister of Finance and Corporate Relations off the Province of British Columbia towards the costs of investigating this matter.
