Terry James Minnie and Raymond Patrick Shaw

Background
¶ 1 On October 7, 2004, the Executive Director issued a Temporary Order and Notice of Hearing against Raymond Patrick Shaw (Temporary Order).

¶ 2 The Commission extended the Temporary Order on November 26, 2004 until a hearing is held and a decision rendered.

¶ 3 On March 8, 2007, Shaw was convicted in the Supreme Court of British Columbia of one count of fraud and two counts of theft under sections 380(1)(a) and 334(a) of the Criminal Code and was sentenced to a conditional sentence of two years less one day followed by a three-year term of probation.

¶ 4 On August 21, 2007 the Commission, pursuant to section 161(6) of the Securities Act, RSBC 1996, c. 418, ordered that:

a. under section 161(1)(b) of the Act, Shaw cease trading in, and is prohibited from trading and purchasing, any securities, except that Shaw may trade or purchase securities for his own account through a registrant, if he gives the registrant a copy of this decision;

b. under section 161(1)(d)(i) and (ii) of the Act, Shaw resign any position he holds as, and is prohibited from becoming, or acting as, a director or officer of any issuer, except an issuer all the securities of which are owned beneficially by him, his wife or his children; and

c. under section 161(1)(d)(iii) of the Act, Shaw is prohibited from engaging in any investor relations activities

for 20 years from the date of this order (the Reciprocal Order).

¶ 5 Shaw applied under section 171 of the Act to vary the Reciprocal Order (the Variation Application).

¶ 6 On October 5, 2007, the Commission dismissed the Variation Application.

¶ 7 The Executive Director, considering it would not be prejudicial to the public interest to do so, discontinues these proceedings against Shaw.
