ORDER:-- WHEREAS an Agreed Statement of Facts and Undertaking was executed by Robert Paul Gordon ("Gordon") and the Superintendent of Brokers (the "Superintendent") a copy of which is attached hereto as Schedule "A";

NOW THEREFORE, by consent, the Superintendent, considering that it would be in the public interest to do so, orders: @1 1. that pursuant to section 144(1)(d) of the Act, Gordon is prohibited from becoming or acting as a director or officer of any reporting issuer for a period of one year from the date of this order.

Schedule "A"
Agreed Statement of Facts and Undertaking

The following agreement has been reached between Robert Paul Gordon ("Gordon") and the Superintendent of Brokers (the "Superintendent");

1.As the basis for orders made pursuant to Section 144 of the Securities Act, S.B.C. 1985, c. 83, (the "Act") prohibiting Gordon from becoming or acting as a director or officer of any reporting issuer for a period of one year, Gordon acknowledges that:
(a)Amble Resources Ltd. ("Amble") is a company incorporated under the Company Act, R.S.B.C. 1979, c. 59;
(b)Amble filed a prospectus with the Superintendent's office on December 20, 1989 (the "Prospectus") for which no final receipt has yet been issued;
(c)in the Prospectus, Gordon was stated to own escrow shares of Amble;
(d)in a hearing (of which Gordon represents that he had no notice) before the National Association of Securities Dealers, Inc. (the "Association"), District No. 7 on January 24, 1986, the Association found (the "Association Decision") that Gordon had failed to respond in writing to three letters dated October 13, November 2 and December 22, 1983 from the Association;
(e)subsequent to the January 24, 1986 hearing and prior to executing the Form 4 referred to below, Gordon determined through a friend that some action had been taken by the Association;
(f)in a Form 4 dated September 5, 1989 which form was submitted to staff of the British Columbia Securities Commission (the "Commission") by or on behalf of Gordon on September 25, 1989, Gordon stated in response to questions 14(C) of the Form 4 that he had not been subject to disciplinary action undertaken by an authority as described in question 14(A) of the Form 4;
(g)Gordon represents that he was not served with a copy of the Association Decision prior to signing the Form 4;
(h)Gordon ought to have determined the extent and the terms of the Association Decision prior to executing the Form 4 but failed to do so; and
(i)subsequently, in 1990 Gordon learned of the terms of the Association Decision.
2.Gordon hereby consents to orders of the Superintendent under section 144(1)(d) of the Act whereby he is prohibited from becoming or acting as a director or officer of any reporting issuer for a period of one year.
3.Gordon waives his right to a hearing and review by the Commission pursuant to section 147 of the Act with respect to the Order.
4.Gordon hereby agrees to pay forthwith to or to the order of the Minister of Finance and Corporate Relations the sum of $500.00.
