Order Under Section 161

WHEREAS an Agreed Statement of Facts and Undertaking was executed by Mijodrag Gordic (“Gordic”) and the Executive Director, a copy of which is attached hereto as Schedule “A”;

NOW THEREFORE the Executive Director, considering that it would be in the public interest to do so, orders, BY CONSENT, that pursuant to section 161(1)(d) of the Securities Act, R.S.B.C. 1996, c. 418, Gordic is prohibited from becoming or acting as a director or officer of any reporting issuer for a period of one year from the date of this Order.

Schedule “A”
IN THE MATTER OF THE SECURITIES ACT
R.S.B.C. 1996, c. 418

AND

IN THE MATTER OF MIJODRAG GORDIC

Agreed Statement of Facts and Undertaking
The following agreement has been reached between Mijodrag Gordic (“Gordic”) and the Executive Director:

1. As the basis for the order and undertaking referred to below, Gordic acknowledges the following facts as correct:

(a) Gordic resides in British Columbia;
      (b) Green Valley Mine Incorporated (“Green Valley”) has its shares listed and posted for trading on the Vancouver Stock Exchange, and is an exchange issuer under the Securities Act, R.S.B.C. 1996, c. 418 (the “Act”);
      (c) on March 9, 1995, Gordic was charged with one count of sexual assault, contrary to section 271 of the Criminal Code (the “Criminal Charge”), and Gordic made appearances relating to the Criminal Charge in the Provincial Court of British Columbia on April 27, May 9, May 26 and November 20, 1995;
      (d) on July 26, 1995, Gordic was appointed the secretary of Green Valley. Gordic was required to file a Form 4B within 30 days of the appointment pursuant to NIN #92/18 and section 73.1 of the Securities Act, S.B.C. 1985, c. 83;
      (e) on November 20, 1995, Gordic filed a Form 4B with the Commission relating to his July 26, 1995 appointment as an officer of Green Valley;
      (f) Gordic’s Form 4B contained a solemn declaration, made by Gordic on November 14, 1995, that he understood the questions therein and that the answers he had provided were true;
      (g) in response to question 8B in the Form 4B, Gordic falsely indicated that he was not the subject of a current charge, indictment or proceeding for an offence; and
      (h) on September 24, 1996, Gordic was found not guilty of the Criminal Charge in the Supreme Court of British Columbia.
2. Gordic consents to an order (the “Order”) by the Executive Director under section 161(1)(d) of the Act that Gordic be prohibited from becoming or acting as a director or officer of any reporting issuer for a period of one year from the date of the Order.

3. Gordic undertakes to pay forthwith to the British Columbia Securities Commission the sum of $500 with respect to the costs of the investigation of this matter.

4. Gordic waives any right he may have, under the Act or otherwise, to a hearing, hearing and review, judicial review or appeal related to, in connection with or incidental to this agreement and the Order.
