Agreed Statement of Facts and Undertaking

The following agreement has been reached between Renee Elizabeth Gray ("Gray") and the Superintendent of Brokers (the "Superintendent");

1.As the basis for the agreement Gray acknowledges that:
(a)Gray has been employed by Great Pacific Management Co. Ltd. ("Great Pacific") since December 14, 1979 and had been registered under the Securities Act, S.B.C. 1985, c. 83 (the "Act") to trade in securities in British Columbia from December 14, 1979 until her registration expired on December 13, 1989;
(b)for the period from December 14, 1989 until registration was granted on May 25, 1992, Gray acted as a mutual fund salesperson for Great Pacific in British Columbia without registration under the Act;
(c)Gray filed an application for registration under the Act on April 1, 1992 for registration as a mutual fund salesman of Great Pacific and was granted registration on May 25, 1992; and
(d)Gray has represented to the Superintendent that her failure to obtain the required registration under the Act during the period December 13, 1989 to May 25, 1992, was inadvertent.
2.Gray hereby undertakes to comply with the requirements of the Act, the Securities Regulation, B.C. Reg. 270/86 and the policies established from time to time by the British Columbia Securities Commission.
3.Gray hereby agrees to pay to the order of the Minister of Finance and Corporate Relations the sum of $1,000.
4.Gray waives any right she has or may have, under the Act or otherwise, to a hearing, hearing and review, judicial review or appeal related to, in connection with or incidental to this agreement.
