   ORDER:-- WHEREAS an Agreed Statement of Facts and Undertaking was executed by William Lawrence McDonagh ("McDonagh") and the superintendent of Brokers (the "Superintendent") a copy of which is attached hereto as Schedule "A";

   NOW THEREFORE the Superintendent, considering that it would be in the public interest to do so, orders that pursuant to Section 145.1 of the Act, McDonagh is prohibited from becoming or acting as a director or officer of any reporting issuer for a period of two years commencing May 15, 1989 up to and including May 15, 1991.

SCHEDULE "A"
IN THE MATTER OF THE SECURITIES ACT
S.B.C. 1985, c. 83, AS AMENDED
AND IN THE MATTER OF NUSPAR RESOURCES
AND IN THE MATTER OF WILLIAM LAWRENCE MCDONAGH
AGREED STATEMENT OF FACTS AND UNDERTAKING

   The following Agreement has been reached between William Lawrence McDonagh ("McDonagh"), and the Superintendent of Brokers (the "Superintendent");

1.
MCDONAGH HEREBY CONSENTS to an order of the Superintendent pursuant to Section 145.1 of the Securities Act S.B.C. 1985, c. 83, as amended (the "Act") in the form annexed hereto.
2.
As the basis for prohibition from becoming or acting as a director or officer of any issuer pursuant to Section 145.1 of the Act, McDonagh acknowledges that the facts set forth in this paragraph are correct:
(a)
At different times from December, 1986 to May, 1988, McDonagh was a director of Nuspar Resources Ltd. ("Nuspar").
(b)
News releases issued by Nuspar between December 16, 1986 and May 24, 1988 contained statements which were misrepresentations within the meaning of the Act.
(c)
McDonagh knew or ought to have known that such of the news releases as were issued during the period in which he served as a director of Nuspar were, at the time of their release and thereafter, misrepresentations within the meaning of the Act.
3.
McDonagh waives his right to a hearing and review by the British Columbia Securities Commission pursuant to Section 149 of the Act with respect to the Order.
4.
McDonagh hereby agrees to pay to the order of Her Majesty the Queen in right of the Province of British Columbia represented by the Minister of Finance the sum of $2,000 for costs of this investigation.
