IN THE MATTER OF the Securities Act, S.B.C. 1985, c. 83,
as amended
AND IN THE MATTER OF Benovati Holdings Limited and Richard
William Warke
Agreed Statement of Facts and Undertaking
November 28, 1989

   The following agreement has been entered into by Richard William Warke ("Warke");

1.
As the basis for the undertaking referred to in paragraph 3 of this agreement Warke acknowledges that the facts set forth in this paragraph are correct:
(a)
Link Resources Inc. ("Link") is a company incorporated in British Columbia under the Company Act on February 13, 1984, and has been listed on the Vancouver Stock Exchange since November 4, 1985;
(b)
during and prior to 1988 Warke was an insider of Link and owned and traded shares in the Company in his own name and through Benovati Holdings Limited ("Benovati"), a private British Columbia company controlled by Warke;
(c)
during October 1988 Warke filed an insider report with the British Columbia Securities Commission which he knew or ought to have known did not accurately reflect the trading in the shares of Link done by or on behalf of Benovati in the month of July 1988;
(d)
in December of 1988 Warke brought this incorrect filing to the attention of the Superintendent of Brokers and filed amended insider reports properly disclosing the trading done by Benovati;
2.
Warke acknowledges that the filing made in October 1988 disclosing the trading by or on behalf of Benovati was not in compliance with Section 70 of the Securities Act, S.B.C. 1985, c. 83 as amended;
3.
Warke hereby agrees to pay the order of Her Majesty the Queen in right of the Province of British Columbia represented by the Minister of Finance the sum of $500 for costs of this investigation and undertakes to ensure that all future filings by him or on his behalf are in compliance with the provisions of the British Columbia Securities Act.
4.
Warke waives his right to a hearing and review by the British Columbia Securities Commission.
