AND IN THE MATTER OF Weldon McKenzie Pinchin
Agreed Statement of Facts and Undertaking

   The following agreement has been reached between Weldon McKenzie Pinchin ("Pinchin") and the Superintendent of Brokers (the "superintendent");

1.
As the basis for the agreement Pinchin acknowledges that:
(a)
Pinchin has been employed by Great Pacific Management Co. Ltd. ("Great Pacific") since February 22, 1988 and had been registered under the Securities Act, S.B.C. 1985, c. 83 (the "Act") to trade in securities in British Columbia from December 28, 1978 until his registration expired on December 17, 1989;
(b)
during the period December 18, 1989 to February 13, 1992, Pinchin acted as a mutual fund salesman without the required registration;
(c)
on January 8, 1992 Pinchin filed an application for registration under the Act as a branch manager of Great Pacific and became registered on February 13, 1992; and
(d)
Pinchin has represented to the Superintendent that his failure to obtain the required registration under the Act during the period December 18, 1989 to February 12, 1992, was inadvertent.
2.
Pinchin hereby undertakes to comply with the requirements of the Act, the Securities Regulation, B.C. Reg. 270/86 and the policies established from time to time by the British Columbia Securities Commission.
3.
Pinchin hereby agrees to pay to the order of the Minister of Finance and Corporate Relations the sum of $1,000.
4.
Pinchin waives any right he has or may have, under the Act or otherwise, to a hearing, hearing and review, judicial review or appeal related to, in connection with or incidental to this agreement.
