Janet Mitton Charged With Breaching Existing BC Securities Commission Enforcement Order

VANCOUVER -- On January 27, 1997, Janet Marie Mitton, of 1868 Hillview Crescent, Abbotsford, was charged under the Offence Act with 1 count of breaching an existing 1988 British Columbia Securities Commission enforcement order which prohibited her from acting as a director or officer of any BC public company until 2008.

During the period from December 1993 to August 1996, Janet Mitton acted as a director and officer of several British Columbia companies, including the Share Foundation, allegedly in breach of the enforcement order.

In 1988 Janet Mitton, together with her husband Michael Lee Mitton, entered into an Agreement and Undertaking with the Commission's Executive Director. In the Agreement Janet Mitton admitted that, by virtue of her position as a director of a British Columbia company, she facilitated breaches of the Securities Act by Michael Mitton including market manipulation, insider trading and failure to file continuous disclosure documents with respect to several public companies. The Executive Director issued an enforcement order against Janet Mitton which, among other things, prohibited Janet Mitton from acting as a director or officer of any British Columbia company for the period from November 1, 1988 to October 31, 2008.

The charges against Janet Mitton follow an investigation of the Securities Fraud Office Project. The Securities Fraud Office Project enables close cooperation between the Ministry of the Attorney General, R.C.M.P. Commercial Crime Section, and the British Columbia Securities Commission, in the investigation and prosecution of securities fraud. It is funded by the British Columbia Securities Commission, an independent provincial agency responsible for regulating trading in securities and exchange contracts.
