B.C. man admits to unregistered trading

Vancouver - The British Columbia Securities Commission has reached a settlement with a B.C. man who admitted to violating securities laws by trading securities without proper registration during a period when he was under a seven-year trading ban.

Under the terms of the settlement agreement, Stanley Steven Ross cannot buy or sell securities, nor act as a director or officer of any company except in limited circumstances, and he cannot engage in any investor relations activities for a further seven years. He has also agreed to pay $50,000 to the BCSC.

Ross is the sole director, officer, and owner of Fortune Capital Management Inc., a B.C. company. He was registered under the Securities Act to trade securities in B.C. from 1984 to 1997. On July 19, 1999 as part of a previous settlement, Ross was banned from securities trading until July 19, 2006.

In the settlement, Ross admitted that between 2000 and 2004, he traded in securities while unregistered and without exemptions when he bought and sold securities in his name and that of Fortune Capital Management Inc. at a securities dealer in Ontario and in an account held by a third party in B.C.

He admitted that between 2000 and 2004, his trading activity included 551 trades in which he bought and sold more than 650,000 shares of a company listed on the U.S. Over-the-Counter Bulletin Board. Ross made some of those trades through the third-party account.

Ross was named as one of the respondents in a notice of hearing into this matter on August 10, 2006. The hearing is currently underway only against Edward Bernard Johnson, the other respondent in the notice.
