This BCN announces that effective April 3, 2002, the BCSC has adopted MI 45-103 as a rule. MI 45-103 introduces new exemptions from registration and prospectus requirements in B.C. and Alberta. The BCSC has also adopted MI 45-103CP Companion Policy. The Executive Director has prescribed MI 45-103F1 Offering Memorandum for Non-Qualifying Issuers, MI 45-103F2 Offering Memorandum for Qualifying Issuers and MI 45-103F3 Risk Acknowledgement as the forms required under MI 45-103. The BCSC has also adopted certain consequential amendments to the Securities Rules.
To provide a six month transition period, the BCSC has also made BCI 45-519 Retention of Current Exemptions for Six Months.

BCF 45-906F Offering Memorandum - Real Estate Securities - BC Notice 2002/17 - Advance Notice of Adoption of National Instrument 54-101 - Communication with Beneficial Owners of Securities of a Reporting Issuer
This notice announces that the Commission, together with other members of the CSA, plans to adopt NI 54-101, related forms and companion policy 54-101CP, effective July 1, 2002. The Commission has also made consequential amendments to the Securities Rules. This notice describes the changes to NI 54-101 and the companion policy, which, together with the consequential amendments and NI 54-102, deal with communication with beneficial owners of securities of a reporting issuer.
- BC Notice 2002/18 - Advance Notice of Adoption of National Instrument 54-102 - Interim Financial Statement and Report Exemption
This notice announces that the Commission, together with other members of the CSA, plans to adopt NI 54-102, effective July 1, 2002. The notice describes changes to NI 54-102, which replaces the provisions of NP 41 pertaining to the sending of interim financial statements and reports to holders of securities of a reporting issuer.
CSA Staff Notice 41-303 - Harmonization of Prospectus Requirements Across the CSA
This Notice advises that the CSA is planning to harmonize the long form prospectus regime across Canada. In the process of harmonizing these prospectus requirements, the CSA plans to make any changes necessary to harmonize the prospectus rules with the changes to the continuous disclosure requirements currently under consideration. Also, the CSA is considering to what extent foreign issuers should be permitted to use the International Organization of Securities Commissions (IOSCO) International Disclosure Standards to satisfy the long form prospectus requirements. Comments are invited. There is no estimate on the timing of this initiative, but the CSA plans to do it as expeditiously as possible.
