    This BCN announces that the Commission has re-issued BCI 45-509.  This BCI is similar to, and replaces, the version we issued in March 2001. 

    The revised BCI is part of a joint initiative by the Commission and the ASC to harmonize our rules relating to CDNX short form offerings.  The ASC is allowing these offerings in Alberta for the first time. 

    We have made a number of substantive and drafting changes to BCI 45-509.  Most significantly, we have increased the amount CDNX companies may raise in a short form offering from $1 million to $2 million.   In addition, you are no longer required to include possible proceeds from the exercise of warrants when you calculate the amount of money to be raised in an offering.  However, under CDNX Policy 4.6 Public Offering by Short Form Offering Document, the number of shares a company may issue on exercise of warrants cannot exceed the number of shares the company intends to sell in the offering

    This notice advises that the Commission has adopted the ATS rules, National Instrument 21-101 Marketplace Operation Rule and National Instrument 23-101 Trading Rules and related documents. The Commission has also amended BCI 21-501 Recognition of exchanges, self-regulatory organizations and jurisdictions to recognize the Toronto Stock Exchange and the Bourse the Montréal for the purpose of National Instruments 21-101 and 23-101 and to make other non-substantive housekeeping changes. The text of the ATS rules and amended BCI 21-501 is attached to the notice.
