ORDER UNDER SECTION 9.1(1) OF NATIONAL INSTRUMENT 43-101

EASTON MINERALS LTD.

Background

Easton applied for an exemption from the requirement that the author of a technical report be a member in good standing of a professional association (the Membership Qualifications) in order for the author to be considered a “qualified person” as defined in NI 43-101;

Representations

[para 2]
Easton represents that:

1. it is incorporated in British Columbia and carries on mineral exploration business;

2. it is a reporting issuer under the Act and is not in default of any requirements of the Act or of the Securities Rules, B.C. Reg. 194/97;

3. its securities are listed on the Canadian Venture Exchange;

4. it has entered into a Share Purchase Agreement to acquire all the outstanding shares of Marifil S.A., a private Argentine mineral exploration company, from Marifil’s shareholders;
5. the acquisition is subject to the acceptance of the CDNX;

6. before it will approve the acquisition, the CDNX requires Easton to file a technical report that complies with NI 43-101 on Marifil’s main property, the Las Aguilas property;

7. Easton has retained Dr. Andres Lencinas (“Lencinas “) of Mendoza, Argentina, B.Sc., Ph.D. to prepare the report;

8. Lencinas would be a qualified person but for the fact that he is not a member of a “professional association”, as defined in NI 43-101, and therefore does not meet the Membership Qualifications;

9. Lencinas is familiar with the Las Aguilas property;

10. Lencinas has the necessary experience, expertise and qualifications to complete the report;

Because it is not prejudicial to the public interest, the Executive Director orders under section 9.1(1) of NI 43-101 that the Membership Qualifications do not apply to Lencinas in determining if Lencinas is a qualified person for the purposes of preparing the report to be filed with the CDNX on the Las Aguilas property.
