Adoption of National Instrument 44-101

The British Columbia Securities Commission, with the other Canadian Securities Administrators (CSA), is adopting National Instrument 44-101 Short Form Prospectus Distributions (NI 44-101) and Form 44-101F1 Short Form Prospectus (Form 44-101F1) effective December 30, 2005. NI 44-101 and Form 44-101F1 replace current National Instrument 44-101 and Form 44-101F3.

Prior publications

On October 21, 2005 with BCN 2005/50, BCN 2005/51 and BCN 2005/52, we published advance notice that, subject to government approval, we expected to adopt

  •  NI 44-101,
  •  Form 44-101F1, and
  •  consequential amendments to certain national and multilateral instruments.

On January 7, 2005, we published NI 44-101, Form 44-101F1 and the consequential amendments for comment (see BCN 2005/02 and BCN 2005/03). During the comment period, we received 15 written submissions. A summary of the comments and the CSA responses can be found in our advance notice of adoption (see BCN 2005/50 and BCN 2005/51). 

Consequential amendments

To implement NI 44-101, we needed to amend a number of national and multilateral instruments as well as a BC Implementing Rule to be consistent with NI 44-101. This notice lists all of those changes.

National amendments

We are amending the following multilateral and national instruments:

  • Multilateral Instrument 11-101 Principal Regulator System,
  • National Instrument 44-102 Shelf distributions and Companion Policy 44-102CP,
  • National Instrument 44-103 Post-receipt pricing and Companion Policy 44-103CP,
  • National Instrument 51-101 Standards of Disclosure For Oil and Gas Activities and Companion Policy 51-101CP, and
  • Form 51-102F2 Annual Information Form.

Local amendments

Effective December 30, 2005, we are making minor amendments  to Implementing Rule 44-801.
