PART 1 RESCISSION OF LOCAL POLICY STATEMENT 3-44

Local Policy Statement 3-44 dated December 22, 1995, is rescinded and the following substituted, effective 11:59 p.m. (Mountain Standard Time) on November 26, 1999.

PART 2 APPLICATION

This Local Policy Statement provides for the recognition by the Commission of a self regulatory body, exchanges and jurisdictions for the purpose of certain sections of the Securities Act and the Securities Rules, and for the designation of an exchange for the purpose of National Instrument 32-101.

PART 3 RECOGNITION OF SELF REGULATORY BODY

The Commission recognizes the Investment Dealers Association of Canada as a self regulatory body under section 24(1) of the Act.

PART 4 RECOGNITION OF EXCHANGES FOR VARIOUS PURPOSES

4.1 Recognition under Section 24(2)

The Commission has, under Recognition Order (COR #99/323) dated November 26, 1999, recognized the Canadian Venture Exchange Inc. ("CDNX") under section 24(2) of the Act.

4.2Recognition of CDNX for certain purposes

The Commission recognizes CDNX for the purpose of

(a) the definition of "exchange issuer" in section 1(1) of the Act, and

(b) section 89(d)(ii) of the Rules.

4.3 Recognition of Canadian exchanges for options trading, take over bid and issuer bid purposes and underwriter membership

The Commission recognizes CDNX, The Toronto Stock Exchange and the Montréal Exchange for the purposes of sections 75(b)(i), 75(b)(ii), 98(1)(a) and 99(e) of the Act and section 7 of the Rules.

PART 5 RECOGNITION OF JURISDICTIONS

The Commission recognizes, for the purpose of sections 98(1)(e)(iii) and 99(h)(iii) of the Act

(a) Alberta, Saskatchewan, Manitoba, Ontario, Québec, Nova Scotia and Newfoundland,

(b) the United States of America, where the bid complies with, and is not exempt from, the requirements of the Securities Exchange Actof 1934 of the United States, and

(c) the United Kingdom of Great Britain and Northern Ireland, where the bid complies with, and is not exempt from, the requirements of the rules of The City Code on Take-overs and Mergers.

PART 6 DESIGNATION OF CDNX FOR THE PURPOSE OF NATIONAL INSTRUMENT 32-101

The Commission designates CDNX as an exchange for the purpose of National Instrument 32-101 entitled "Small Securityholder Selling and Purchase Arrangements".
