NIN 2000/35 - Insider Reporting Guide [NIN - Rescinded]

Commission staff is publishing a guide on insider trade reporting requirements. The guide is available in pdf format on the Commission website at www.bcsc.bc.ca. Staff have prepared the guide to assist insiders and those who help them complete and file insider reports. The guide contains a number of examples of different types of trades and the manner in which to report them. Staff would encourage filers and their advisers to bring this guide to the attention of directors, officers and significant shareholders of reporting issuers, and staff of reporting issuers or their advisers who assist insiders in completing and filing their insider reports.

On June 16, 2000 the Commission published for comment proposed National Instrument 55-102 System for Electronic Data on Insiders (SEDI) (“NI 55-102”).1

This proposed National Instrument will establish an electronic filing system for insider trade reports. The Commission currently expects that SEDI will be fully developed and ready to accept electronic filings on or about December 4, 2000.

The National Instrument requires insiders of issuers that file on SEDAR2

to file their insider reports in electronic format through SEDI (“SEDI issuers”). Insiders of reporting issuers that do not file their disclosure documentation in SEDAR (essentially foreign issuers who do not elect to file in SEDAR) (“non-SEDI issuers”) will continue to file insider reports in paper format.

Once SEDI is operational, the Guide will be amended so that it may continue to be used for insiders of non-SEDI issuers. Insiders of SEDI issuers will use an on-line filing guide.
