NIN 96/21 - Course Announcement - The Securities Program [NIN - Rescinded]

The Faculty of Business Administration, Simon Fraser University has announced The Securities Program courses for the Fall of 1996 and the Spring and Fall of 1997. These courses are designed to provide a sound understanding of many of the laws, practices and procedures that are important to the successful operation of a reporting issuer. The Executive Director of the British Columbia Securities Commission is very supportive of this educational program and recommends it to directors, officers, brokers and others involved with companies listed or proposing to list on the Vancouver Stock Exchange or other venture exchanges.

Recent changes in the legislation require that the Executive Director refuse a receipt for a prospectus if he considers that the directors and officers of the issuer lack the knowledge and expertise necessary to conduct the business of the issuer in compliance with the law and in the best interests of the security holders. Issuers filing initial prospectuses may be asked to establish the knowledge and expertise of senior management. Courses like The Securities Program will prove very valuable for those who have not had considerable, and problem-free, past experience in managing the affairs of reporting issuers.

The new SFU courses will emphasize Corporate Governance and be given in two parts - Going Public and Continuous Disclosure. Each part will be a three day session on Thursday, Friday and Saturday separated by a two week interval. Part one on Going Public will deal with the corporate, securities and business issues until the company is listed on an exchange. Part two on Continuous Disclosure will deal with continuous disclosure, insider reporting, insider trading and promotion after listing.

On the Saturday of the Continuous Disclosure course there will be a review of all materials for both courses and an examination for those who wish to obtain a certificate from Simon Fraser University.

The following are the dates for the new courses.

Corporate Governance - Going Public
Sept. 12, 13 & 14, 1996
Jan. 9, 10 & 11, 1997
Sept. 18, 19 & 20, 1997

Corporate Governance - Continuous Disclosure
Oct. 3, 4 & 5, 1996
Jan. 23, 24 & 25, 1997
Oct. 2, 3 & 4, 1997

The fees for the courses, which are tax deductible and GST exempt, are as follows:

Corporate Governance - Going Public $475

Corporate Governance - Continuous Disclosure $475

Registrants who take both Corporate Governance - Going Public and Corporate Governance - Continuous Disclosure may do so for a combined fee of $900. Registrants who do not require the current B.C. Securities Act and Regulation will be given a $50 credit.

Registration is limited to permit hands-on learning and participation.
