Learn About New Exemption for Distributions to Existing Security Holders

Description:

On March 13, the BCSC and most other Canadian jurisdictions adopted a new prospectus exemption that allows issuers listed on the Toronto Stock Exchange, the TSX Venture Exchange, and the Canadian Securities Exchange to raise money by offering listed securities to their existing security holders, subject to certain conditions. In BC, the exemption is found in BC Instrument 45-534 - Exemption from prospectus requirement for certain trades to existing security holders.

On April 9, 2014, the BCSC hosted a free session to learn about this new exemption directly from BCSC staff who drafted the exemption. At this session, we:

  • introduced the exemption and its key conditions
  • explained how issuers can meet the requirements of the new exemption in practice
  • addressed some frequently asked questions
  • answered audience questions
