Alberta and B.C. securities regulators seek comment on Maple Group Acquisition Corporation’s offer to acquire the TMX Group

Vancouver/Calgary – The Alberta Securities Commission (ASC) and British Columbia Securities Commission (BCSC) have received an application from Maple Group Acquisition Corporation (Maple Group) to confirm recognition of the TSX Venture Exchange, in connection with Maple Group’s offer to acquire the TMX Group. In the application, Maple Group requests that the ASC and BCSC issue new recognition orders confirming the recognition of TSX Venture on the terms and conditions of the existing recognition orders. The Commissions jointly regulate the TSX Venture. To assist in the Commissions’ joint review of the application, the ASC and BCSC are seeking comment from market participants.

Specifically, the Commissions would like comment on the impact of Maple Group’s offer on the TSX Venture, the venture capital markets, and other stakeholders involved in venture capital financing.  In the application, Maple Group also requests that the ASC issue new recognition orders confirming the recognition of the Natural Gas Exchange (NGX) on the terms and conditions of the existing recognition orders. The ASC would also like comments from market participants that use the NGX.

The applications were filed in conjunction with applications filed on behalf of Maple Group with the Ontario Securities Commission (OSC), regarding the TMX Group and TSX, and the Autorité des marchés financiers (AMF), regarding the Bourse de Montréal. These applications can be found on the OSC and AMF websites.

To comment, please refer to the Joint ASC/BCSC Notice and Request for Comment document on the applications, which is available on the ASC and BCSC websites. The comment period is open until November 7, 2011.
