The Commission, together with the other members of the Canadian Securities Administrators, is publishing for comment proposed National Instrument 71-102 Continuous Disclosure and Other Exemptions Relating to Foreign Issuers and related documents. The proposed new instrument contains a set of exemptions from continuous disclosure requirements that simplify reporting obligations for eligible foreign issuers by allowing them to file foreign documents in satisfaction of Canadian requirements. There is financial statement relief for all eligible foreign issuers, and broader continuous disclosure relief for two subclasses of eligible foreign issuers: SEC foreign issuers and foreign issuers that are subject to the disclosure requirements of one of 15 designated foreign jurisdictions.
The comment period expires on September 19, 2002.
