IN THE MATTER OF GREYMONT CAPITAL (VCC) CORPORATION, GREYMONT CAPITAL CORPORATION AND DEREK DUNCAN MASON

Order Under Section 174

WHEREAS following a hearing under sections 144(1) and 144.1 of the Securities Act, S.B.C. 1985, c. 83 (the “Old Act”), now sections 161 and 162 of the Securities Act, R.S.B.C. 1996, c. 418, into the conduct and affairs of Greymont Capital (VCC)Corporation, Greymont Capital Corporation andDerek Duncan Mason, the Commission issued a decision on February 20, 1996, in which it ordered, inter alia, under section 154.2 of the Old Act, now section 174 of the Act, that Mason and Greymont Capital Corporation, jointly and severally, pay the costs of or related to the hearing in an amount to be determined following further submissions from the parties;

AND WHEREAS on March 25, 1996, Commission staff submitted a bill of costs of $46,751.37, representing prescribed fees and charges incurred by the Commission and the Executive Director in relation to the hearing;

AND WHEREAS the submission of Commission staff was sent to Mason and Greymont Capital Corporation on April 2, 1996;

AND WHEREAS on May 30, 1996, Mason made submissions in respect of the bill of costs;

AND WHEREAS on December 10, 1996, Commission staff made further submissions;

NOW THEREFORE the Commission orders under section 174 of the Act and in accordance with section 22(1), Item 38(a), (b), (c), (f) and (g) of the Securities Regulation, B.C. Reg.196/97, that Mason and Greymont Capital Corporation, jointly and severally, pay the costs of or related to the hearing in the amount of $36,751.37.
