Order Under Section 95 of the Securities Rules

Trieben Holdings Ltd. (“Trieben”) has applied to the Executive Director of the British Columbia Securities Commission (the "Commission") for an order pursuant to section 95 of the Securities Rules, B.C. Reg. 194/97 (the "Rules") that the lapse date (the "Lapse Date") of Trieben's prospectus dated August 7, 2001 (the "Prospectus") pertaining to the distribution of 2,333,333 common shares of Trieben at a price of $0.15 each (the "Distribution") be extended to November 7, 2001;

Trieben has represented as follows:
3. Trieben is a company existing under the laws of British Columbia;
4. Trieben is a reporting issuer under the Act and is not in default of any requirements of the Act or the regulations or rules made thereunder;
5. Trieben is designated as a capital pool company under the policies of the Canadian Venture Exchange Inc.;
6. a preliminary receipt for Trieben’s Prospectus was issued by the Commission on August 28, 2000;
7. a final receipt for Trieben’s Prospectus was issued by the Commission on August 9, 2001;
8. pursuant to sections 70(2)(a) of the Act and 121(a) of the Rules, the Lapse Date is August 28, 2001;
9. Wolverton Securities Ltd. has informed Trieben that it requires 90 days in which to undertake the Distribution; and
10. since the date of the Prospectus, no material changes have occurred and no amendments to the Prospectus have been made and the extension requested will not affect the accuracy of the information contained in the Prospectus;

The Executive Director considers that to do so would not be prejudicial to the public interest;

IT IS ORDERED pursuant to section 95 of the Rules that the Lapse Date be extended to November 7, 2001.
