   ORDER:-- WHEREAS by Notice of Hearing dated June 23, 1989 the Superintendent of Brokers ("Superintendent") gave notice of a hearing to be held on July 19, 1989 at 10:00 a.m. to allow Kevin Richard Purdy ("Purdy") an opportunity to be heard before the British Columbia Securities Commission determines whether it is in the public interest to make orders under sections 145, 145.1 and 154.2 of the Securities Act, S.B.C. 1985, c. 83, as amended ("Act");

   AND WHEREAS an Agreed Statement of Facts and Undertaking has since been executed by Purdy and the Superintendent, a copy of which is attached as Exhibit "A" to this Order;

   NOW THEREFORE the Superintendent, considering that it would be in the public interest to do so, orders under sections 145 and 145.1 of the Act that,

(a)
the exemptions described in sections 30 to 32, 55, 58, 81 and 82 of the Act do not apply to Purdy, and
(b)
Purdy is prohibited from becoming or acting as a director or officer of any reporting issuer for a period of three years commencing on the date of this Order.

AND IN THE MATTER OF Kevin Richard Purdy
Agreed Statement of Facts and Undertaking

   The following agreement has been reached between Kevin Richard Purdy ("Purdy") and the Superintendent of Brokers ("Superintendent"):

1.
Purdy consents to an order ("Order") of the Superintendent under sections 145 and 145.1 of the Securities Act, S.B.C. 1985, c. 83, as amended ("Act") that,
a)
the exemptions described in sections 30 to 32, 55, 58, 81 and 82 of the Act do not apply to Purdy, and
b)
Purdy is prohibited from becoming or acting as a director or officer of any reporting issuer for a period of three years commencing on the date of the Order;
2.
As the basis for the Order, Purdy acknowledges that the admissions of facts are correct as set forth in the Settlement Agreement dated August 9, 1988 between Purdy and the staff of the Ontario Securities Commission, a copy of which is attached as Exhibit "A" to this Agreed Statement of Facts and Undertaking;
3.
Purdy waives his right to a hearing and review by the British Columbia Securities Commission under section 149 of the Act with respect to the Order;
4.
Purdy agrees to pay to Her Majesty the Queen in Right of the Province of British Columbia represented by the Minister of Finance the sum of $250 for costs of investigation of this matter.
