Agreed Statement of Facts and Undertaking

AGREED STATEMENT OF FACTS AND UNDERTAKING:-- The following agreement has been reached between Theodore Masumi Ohashi ("Ohashi") and the Superintendent of Brokers (the "Superintendent");

1.
As the basis for the agreement Ohashi acknowledges that:
(a)
Ohashi had been registered to trade in securities in British Columbia from July 2, 1969 until his registration expired on June 30, 1989;
(b)
Ohashi commenced employment with PlanVest Securities Corporation ("PlanVest") on January 1, 1990 as President and director and traded in securities without registration from January 1, 1990 to August 16, 1991 (the "Material Time");
(c)
Ohashi has represented to the Superintendent that his failure to obtain registration during the Material Time was inadvertent;
(d)
Ohashi filed an application under the Securities Act, S.B.C. 1985, c. 83 (the "Act") on July 22, 1991 for registration as the President and a director of PlanVest and became registered on August 16, 1991;
(e)
Ohashi was an insider of PlanVest Capital Corp. ("Capital"), a reporting issuer, and failed to file in a timely manner an insider report for Capital disclosing options acquired in December 1989;
(f)
Ohashi was an insider of Yellowjack Resources Ltd. ("Yellowjack"), a reporting issuer, and failed to file in a timely manner an insider report for Yellowjack disclosing options acquired in October 1990 and his trading in July 1991; and
(g)
Ohashi was an insider of Epic Resources (BC) Ltd. ("Epic"), a reporting issuer, and failed to file in a timely manner an insider report for Epic disclosing his trading in July 1991.
2.
Ohashi hereby undertakes to comply with the requirements of the Act, the Securities Regulation, B.C. Reg. 270/86 and the policies established from time to time by the British Columbia Securities Commission.
3.
Ohashi hereby agrees to pay to the order of the Minister of Finance and Corporate Relations the sum of $5,000.
4.
Ohashi waives any right he may have, under the Act or otherwise, to a hearing, hearing and review, judicial review or appeal related to, in connection with or incidental to this agreement.
