Background:
We received an enquiry from a resident of a foreign jurisdiction who had been cold-called by representatives of Dawson & Fielding Inc. (Dawson), in April of 2010, and solicited to open an account with Dawson and purchase securities of a certain company. On its Web site, Dawson purports to be “a seed-stage venture capital fund” located on the 23rd Floor, 666 Burrard Street, Vancouver, British Columbia. Dawson is not located at that address and is not registered in British Columbia to trade in, or advise on, securities and exchange contracts.
