  • BCN 2009/09 - Pre-Filing Review of Mining Technical Disclosure for Short Form Offerings

    This notice announces the launch, effective September 1, 2009, of an initiative to streamline and expedite the review process for short form prospectus filings by mining companies whose principal regulator is BC. Staff of the Commission’s Corporate Finance Division will use best efforts to review a mining company’s technical disclosure for compliance with NI 43-101 before the preliminary short form prospectus is filed, if the issuer gives at least 10 days advance notice of the filing.

  • BCN 2009/10 - Notice of National Policy 11-204 Process for Registration in Multiple Jurisdictions and Amendments to Multilateral Instrument 11-102 Passport System, Companion Policy 11-102CP Passport System, National Policy 11-202 Process for Prospectus Reviews in Multiple Jurisdictions, and National Policy 11-203 Process for Exemptive Relief Applications in Multiple Jurisdictions [BCN]

    This BC notice announces that we will implement the next phase of the passport for registrants and amend phase II of passport for issuers effective on September 28, 2009 when National Instrument 31-103 Registration Requirements is implemented. We will also implement a new national policy setting out the processes for registration in multiple jurisdictions (NP 11-204) and amend the national policies for the filing and review of prospectuses (NP 11-202) and exemptive relief applications (NP 11-203). In addition, we will repeal National Instrument 31-101 National Registration System and its related policy and forms, amend sections 1 to 3 of the Securities Rules and rescind BC Instrument 52-801 Implementing National Instrument 52-107 Acceptable Accounting Principles, Auditing Standards and Reporting Currency.

  • BCN 2009/11 - Advance Notice of National Instrument 45-106 Prospectus and Registration Exemptions, National Instrument 45-102 Resale of Securities, Related Documents and Consequential Amendments

    This BC Notice announces the expected implementation of National Instrument 45-106 Prospectus and Registration Exemptions, National Instrument 45-102 Resale of Securities, its related forms and companion policies, effective September 28, 2009. The advance notice also announces consequential amendments to a number of other national and local instruments and policies, including the Securities Rules.


    The instruments and the consequential amendments, combined with amendments to the Securities Act that were passed in Bill 20, the Securities Amendment Act, 2006, incorporate more local exemptions into the consolidated instrument, further harmonize some exemptions for which NI 45-106 contains minor local differences, resolve ambiguities in the current drafting, reflect decisions the CSA has made in granting exemptive relief on individual applications and clarify the resale of securities rule.
  • BCN 2009/12 - Advance notice of adoption of National Instrument 31-103 Registration Requirements and Exemptions, Companion Policy 31-103 Registration Requirements and Exemptions, and consequential amendments to local and national rules

    This notice announces the Canadian Securities Administrators' intent to adopt NI 31-103 and related documents (the Rule) on September 28, 2009. In British Columba, adoption is conditional on the Minister of Finance's approval.

    The Rule harmonizes, streamlines, and modernizes the vast majority of registration requirements and exemptions across Canada. It is the foundation for a passport system for registrants.
