BC Notice 2002/36 - Continued recognition of TSX Venture Exchange Inc. following TSX Inc. reorganization
This Notice advises that on September 3, 2002, the Commission revoked the order issued on July 31, 2001 recognizing the Canadian Venture Exchange Inc. (CDNX) as an exchange and issued a new recognition order for the TSX Venture Exchange Inc. (TSX-V) to reflect:
- the TSX-V’s legal name change from the CDNX to TSX Venture Exchange Inc./Bourse de croissance TSX Inc.,
- the legal name change of The Toronto Stock Exchange Inc. to TSX Inc. (TSX),
- the reorganization of TSX, and
- the arrangement by which TSX-V has retained Market Regulation Services Inc. as its regulation services provider to provide certain regulatory functions.
Published under cover of this Notice are: (1) the Commission’s Recognition Order of the TSX-V dated September 3, 2002 (COR#02/096); (2) a joint letter of undertaking from the TSX Group and the TSX in favour of the Commission; and (3) a letter from the OSC addressed to the Commission and the ASC.
- BC Notice 2002/37 - Exemption from recognition for TSX Inc. and
Memorandum of understanding about the oversight of exchanges and quotation and trade reporting systems
This Notice advises that on September 3, 2002, the Commission revoked the order issued on March 26, 2002 (COR#02/034) exempting The Toronto Stock Exchange Inc. (TSE) from recognition as an exchange under the Act and issued a new exemption order (COR#02/097) for the TSX Inc. (TSX), to reflect both the TSE's legal name change to TSX and the reorganization of TSX under which it becomes a wholly owned subsidiary of TSX Group Inc. (TSX Group). TSX Group intends to conduct an initial public offering after the reorganization. The Commission issued COR#02/097 on the basis that: (1) TSX will continue to be recognized as an exchange by the OSC and subject to the latter's oversight; and (2) the oversight of exchanges and QTRSs will be subject to a MOU among recognizing jurisdictions. The MOU was approved by the Commission, OSC, ASC, MSC and CVMQ on September 3, 2002. The MOU establishes the OSC as "lead regulator" of the TSX, and the Commission and ASC as lead regulators of the TSX Venture Exchange.Published under cover of this Notice are: (1) COR#02/097; (2) COR#02/034; and (3) the MOU.
