BCSC imposes $40,000 penalty on CEO for failing to file insider reports

Vancouver – The Executive Director of the B.C. Securities Commission (BCSC) has imposed a $40,000 administrative penalty on the CEO of a publicly-traded company for failing to file timely reports of trading in securities.
Bradley Donald Moore, the CEO and a director of B.C.-based Global Compliance Applications Corporation, completed 156 transactions between September 2018 and December 2020. The trades, with an estimated total value of $614,938, changed his ownership, control or direction over the company.
As CEO and a director of a company that is a reporting issuer, he was a reporting insider under national securities rules. But he didn’t report any of the trades on the System for Electronic Disclosure by Insiders (SEDI) within five days of making them, as required by those national rules.
Reporting insider trades, BCSC Executive Director said in his notice to Moore, “discloses to market participants the trading activities of the person most closely connected to, and therefore in a position to be most knowledgeable about, a reporting issuer… It also deters insider trading based on material undisclosed information.”
The BCSC had previously warned Moore in 2017 about his late filings for an earlier set of transactions in 2016 and 2017, and cautioned that failing to file on time in the future could lead to financial sanctions or restrictions on participating in the investment market.
BCSC Executive Director Peter Brady imposed the penalty after giving Moore 30 days to request an opportunity to be heard. Moore has not yet paid.
