BCSC alleges investment professional lied to investigators

Vancouver –The B.C. Securities Commission (BCSC) is alleging that a registered investment professional made false or misleading statements to a Commission investigator under oath.

Zhuo Ying Liu (also known as Charlene Liu) is registered as a dealing representative at an exempt market dealer (EMD). In 2020, the EMD halted further sales of the securities of a specific company because it failed to provide the EMD with documentation. Despite that, Liu continued to solicit investments in the company.

In 2024, Commission staff issued Liu a summons to attend a compelled interview as part of the BCSC’s investigation into trading in the company’s securities. Liu herself was not under investigation.

While under oath during an interview, Liu allegedly said that she hadn’t sold shares to two specific investors. The BCSC alleges that they had actually bought more than $500,000 worth of securities between the two of them through her. She also allegedly said she hadn’t sold the company’s securities to any investors after July 2020, when she had in fact facilitated an additional $1.4 million worth of purchases of securities by 11 other investors.

The BCSC alleges that by doing so, Liu made materially false or misleading statements to a Commission investigator during a compelled interview.

The BCSC’s allegations have not been proven. The Commission requires Liu or her counsel to appear at the BCSC’s offices on July 21, 2026 if she wishes to be heard before a hearing is scheduled.
