Effective April 25, 2001, the British Columbia Securities Commission made BC Instrument 13-501 entitled “Filing BC Form 45-902F (Formerly Form 20) By Facsimile” (the original instrument).

The Commission, having considered that to do so would not be prejudicial to the public interest, orders that:

1. the attached BC Instrument 13-501 entitled “Filing BC Form 45-103F4 (Formerly Form 45-902F) By Facsimile” is made; and

2. the original instrument is revoked.

Filing BC Form 45-103F4 (Formerly Form 45-902F) By Facsimile

Order under section 76 of theSecurities Act

Where an issuer distributes a security and is required to file a BC Form 45-103F4 under section 139 of the Securities Rules, section 7.1 of Multilateral Instrument 45-103 Capital Raising Exemptions, or in accordance with the terms of an order made under section 76 of the Securities Act, the issuer is exempt from filing the original of a manually signed BC Form 45-103F4 provided that:

a) the issuer files a copy of the manually signed BC Form 45-103F4 by facsimile with the British Columbia Securities Commission; and

b) the issuer retains the original BC Form 45-103F4 that it has filed with the Commission under this instrument for a period of six years from the date of the filing.
