In the attached notice, the Canadian Securities Administrators are publishing advance notice of

  • proposed repeal and substitution of Form 51-102F6 Statement of Executive Compensation and
  • proposed consequential amendments to National Instrument 51-102 Continuous Disclosure Obligations and Form 51-102F5 Information Circular.

When the amendments come into force, we also intend to withdraw:

  • CSA Staff Notice 51-304 Report on Staff's Review of Executive Compensation Disclosure,
  • CSA Notice 51-325 Status of Proposed Repeal and Substitution of Form 51-102F6 Statement of Executive Compensation

Substance and purpose of the proposals
The proposed repeal and substitution of Form 51-102F6 Statement of Executive Compensation and related consequential amendments expands executive compensation disclosure of key areas that are discussed in the attached CSA notice.

Prior publications
We published for initial comment the proposed changes to Form 51-102F6 Statement of Executive Compensation and proposed consequential amendments to National Instrument 51-102 Continuous Disclosure Obligations and Form 51-102F5 Information Circular on March 29, 2007 (BCN 2007/14). We published revised proposals on February 22, 2008 (BCN 2008/09) for a second comment period.

Provided necessary ministerial approval is obtained, the housekeeping amendments will come into force on December 31, 2008.
