• 51-102F6 - Statement of Executive Compensation (in respect of financial years ending on or after December 31, 2008) [F - Rescinded] - For financial years beginning before January 1, 2011

Effective December 31, 2008, the Commission, together with the other Canadian Securities Administrators (CSA), is adopting

• new Form 51-102F6 Statement of Executive Compensation (new 51-102F6) that will apply for financial years ending on or after December 31, 2008
• amendments to Form 51-102F6 Statement of Executive Compensation (old 51-102F6) so that it will apply only for financial years ending before December 31, 2008
• amendments to National Instrument 51-102 Continuous Disclosure Obligations (NI 51-102)
• amendments to Form 51-102F5 Annual Information Form (51-102F5)

together, the amendments.

Substance and purpose of the amendments
The amendments expand and update the executive compensation disclosure a reporting issuer must provide and make related amendments to update NI 51-102 and 51-102F5. 

Old 51-102F6 will remain in effect until March 31, 2010 for disclosure relating to financial years that end before December 31, 2008.  Reporting issuers must use new 51-102F6 for their executive compensation disclosure for financial years ending on or after December 31, 2008.

Prior publications
We published the amendments for comment on March 29, 2007 (BCN 2007/14), and for further comment on February 22, 2008 (BCN 2008/09). We published advance notice of our proposed adoption of the amendments on September 18, 2008 (BCN 2008/44).
