The British Columbia Securities Commission, considering that do so would not be prejudicial to the public interest, orders that, effective September 1, 2003:

  1. the attached BC Instrument 21-501 "Recognition of exchanges, self regulatory bodies, and jurisdictions" is made; and
  2. BC Instrument 21-501 "Recognition of exchanges, self regulatory bodies, and jurisdictions", published on November 1, 2001 and effective December 1, 2001, is revoked.

BC Instrument 21-501

Recognition of exchanges, self regulatory bodies, and jurisdictions

(Previously BOR 91/6, BOR 22-501, LPS 21-601, BCI 21-501 effective June 29, 2001, and BCI 21-501 effective December 1, 2001)

Application

  1. In this BC Instrument, the Commission recognizes exchanges, self regulatory bodies, and jurisdictions for the purposes of:

    (a) sections 1(1), 46(a)(ii), 59(2), 75(b)(i), 75(b)(ii), 98(1)(a), 98(1)(e)(ii), 99(e), and 99(h)(iii) of the Securities Act (the Act);

    (b) section 89(d)(ii) of the Securities Rules (the Rules);

    (c) National Instrument 21-101 Marketplace Operation;

    (d) National Instrument 23-101 Trading Rules; and

    (e) National Instrument 32-101 Small Securityholder Selling and Purchase Arrangements.

    Recognition and designation of exchanges for various purposes

  2. The Commission:

    (a) recognizes the TSX Venture Exchange (TSX Venture) for the purpose of the definition of "exchange issuer" in section 1(1) of the Act,

    (b) recognizes the exchanges listed in Schedule A under section 59(2) of the Act,

    (c) recognizes the TSX Venture, the Toronto Stock Exchange Inc. (TSX) and the Bourse de Montréal Inc. (BdM) for the purposes of sections 75(b)(i) and (ii),

    (d) recognizes the TSX Venture and the TSX for the purposes of sections 98(1)(a), and 99(e) of the Act,

    (e) recognizes the TSX Venture for the purpose of section 89(d)(ii) of the Rules,

    (f) recognizes the TSX and the BdM for the purpose of National Instrument 21-101 Marketplace Operation and National Instrument 23-101 Trading Rules, and

    (g) designates the TSX Venture as an exchange for the purpose of National Instrument 32-101 Small Securityholder Selling and Purchase Agreements.

    Recognition of Jurisdictions

  3. For the purpose of section 46(a)(ii) of the Act, the Commission recognizes:

    (a) the United States of America, its states and territories, the District of Columbia; and

    (b) the United Kingdom.

  4. For the purposes of sections 98(1)(e)(iii) and 99(h)(iii) of the Act, the Commission recognizes:

    (a) Alberta, Saskatchewan, Manitoba, Ontario, Québec, Nova Scotia, and Newfoundland;

    (b) the United States of America, where the bid complies with, and is not exempt from, the requirements of the Securities Exchange Act of 1934 of the United States; and

    (c) the United Kingdom of Great Britain and Northern Ireland, where the bid complies with, and is not exempt from, the requirements of the rules of The City Code on Take-overs and Mergers.
